1. Acceptance of Terms

By accessing or using the Neutron platform ("Service"), you agree to be bound by these Terms. If you disagree with any part of the terms, you may not access the Service.

2. Nature of Service (Non-Custodial)

Neutron is a software provider that offers autonomous execution tools for digital assets.

• No Custody: Neutron never takes custody of your assets. You retain full control of your funds at all times on your respective exchanges or wallets.

• Execution Only: Our software executes commands based on parameters you set. We do not have the ability to withdraw funds.

• Not Financial Advice: The Service provides execution logic and data analysis. Nothing herein constitutes investment advice, financial advice, or trading recommendations.

3. Risk Disclosure

Trading digital assets involves a high degree of risk.

• Volatility: You acknowledge that the markets for digital assets are highly volatile and that you may lose some or all of your capital.

• Software Risk: While Neutron utilizes SOC-2 certified infrastructure and audited code, you accept the inherent risks associated with using software-based trading agents, including but not limited to latency, connectivity issues, or exchange API failures.

• Liability: Neutron is not liable for any losses incurred due to market fluctuations, third-party exchange failures, or "flash crashes."

4. API Security & User Responsibilities

You are responsible for maintaining the security of your API keys.

• Permissions: You agree to generate API keys with "Trade Only" and "Read" permissions. You must never provide keys with "Withdrawal" permissions.

• Compromise: If you suspect your account has been compromised, you must revoke API keys immediately via your exchange provider.

5. Subscriptions & Billing

• Fees: Subscriptions (Nucleus, Orbit) are billed monthly in advance.

• Cancellation: You may cancel at any time. Service will continue until the end of the billing period.

• Refunds: Due to the nature of the software, we do not offer refunds for partial months or lack of usage.

6. Limitation of Liability

To the maximum extent permitted by law, Neutron shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly.
